Website Design Agreement

This Website Design Agreement (“Agreement”) is being made between Anthony Petti (Realtor Assoc, DNA Home Team/Keller Williams) and Sonia Baness on Behalf of JT Digital Creatives on 11/07/2021 may also be referred to as “Party” or together as the “Parties”.

1. Services
You want a website and we can’t wait to build it for you. We will provide You with the following services (“Services”) in a timely and professional manner.

Description of the Services:
-Hosting Set up (Fees Separate) – (apx $103 a year to

- Domain name Set Up/Transfer (Fees Separate) – (aprox $20 renewal each year at

- Transfer through Two Cows Services (Apx $15)

- Full WordPress website containing 10-20 Pages including Terms & Conditions & Privacy Policy Page(s)
A “Book Now” and payment System linked to Paypal or similar woo commerce system

- Contact Us Forms

We will build and design your website to contain SEO search terms and web listed directory site map.

We build as a team, we will provide you a live link after a few days of back end set up where you can monitor and give feedback on design, content, changes etc. This enables us to work together to get it exactly how you envisioned it. If You decide the Services aren’t exactly what You are looking for, don’t worry because we can change the scope of the Services for you at any time. Our aim is to get your site exactly the way you want it. Simply call or email us and we can discuss any major project changes. If the new Services are going to require a bit more work for us, then both parties will have to agree in writing to an updated cost for the Services.
2. Cost & Payment

They say nothing good in life is free, and this is no exception.

Total Cost of the Services: $3500

Payment Terms Agreed: x2 @ $1,750

1st Payment Due 11/08/2021
Completion payment due on or around 11/22/2021

All payments can be paid direction through Zelle / or Venmo to Sonia Baness (on behalf as owner of JTDIGITALCREATIVES) Please send your payments via this method for no additional charges. A Paid Invoice will be sent to you within 24 hours of receipt.

Any additional plugins that are outside the general scope of work will be discussed and agreed with the client. Client is responsible to purchase (and maintain subscriptions) or these additional third party plugins when agreed. Clients credit card will be used to purchase any said plug in and all subscriptions will be charged to the credit card given by the client.
Alternatively we can charge you through PayPal or direct credit card, but we will charge you the additional 3% total project costs that we incur .. We offer the other payment methods to keep costs low for all parties, Please check this box if you prefer to pay the fee and be billed through Pay Pal and we will invoice you via this method. Alternatively you may pay by check.
3. Timeline

We know you are excited to receive your final product, and we don’t want to leave you waiting. We will roll up our sleeves and get work on the agreed upon date (usually within 24 hours of signed agreement and payment) and continue until the satisfactory completion of the Services. This means that we won’t throw the towel in until the website we develop for you is performing exactly as agreed to. Here is the schedule We will follow:

Preliminary Design: Expected start to finish is 7-14 days from signing

Your Review: We ask you to review daily or every other day during the build so that you may make any major changes as we go.

We want to keep you informed of the progress we are making on your website. We will share our work with a live link and we will be available daily to be available to answer any questions You may have during that time (call 719 290 5143 for immediate assistance or email where the whole team will have access)

Your FINAL Review: On Completion we ask you to review, make changes or sign off in a
timely manner no later than 3 working days to complete payment.

Your FINAL review must include any and all feedback You have.

Completion: Apx 7-10 days from start of project we will keep you informed.

We will be available an additional 30 days to provide You with reasonable technical support and correct any possible errors or deficiencies. We do offer a maintance service which is quarterly @ $250 per quarter to update and make any changes, updates and additions, if you would like this service please let us know. Websites need constantly updating for search engines and other legalities so our clients find this a useful way to keep improving and modernizing their sites so they don’t look stale. Some of our clients prefer to maintain their own websites and we will give you all the tools required to do so if you chose not to select our quarterly services.
4. Copyright Notice

A Copyright notice that states “©Story Light Photography” will be displayed on the bottom of each page of your website.

5. Intellectual Property

You will own the masterpiece, also known as the website, that we design for you and any visuals that we provide with it. We will turn over our work product, including any necessary files, and You will be responsible for their safekeeping. We are not required to keep copies. You guarantee that You have the legal right to all elements of text, photographs, and anything else that You provide to Us and that You will not hold Us responsible for any third-party claims.

We will own any copyrightable work, ideas, inventions, products, or other information that We create in connection with the Services We are providing. We guarantee that We have the legal right to all elements related to the Services We are providing and will not hold You responsible for any third-party claims.

6. Confidentiality

Your secrets are safe with Us. This includes your proprietary information (things like trade secrets, know-how, or any other confidential information that is not publicly available). We promise We won’t sell your proprietary information to a third-party, no matter how much they offer Us. Same applies to any credit card information you give us this remains confidential and is destroyed once we have set up your Siteground and any payment links required for your site to function.

7. Assignment

The Parties may not assign the responsibilities that they have under this Agreement to anyone else unless both Parties agree to the assignment in writing.

8. Termination

We would really hate to see You go. If You decide We aren’t your cup of coffee (or wine), You can end this Agreement by giving Us a ten (10) day written notice and paying Us for the Services that We have completed.

If either Party fails to follow through with their responsibilities or obligations under this Agreement, the other Party can end this Agreement by giving a ten (10) day written notice.

This Agreement will automatically terminate when both Parties have performed all of their obligations under the Agreement and all payments have been made.

9. Limitation of Liability

Your liability to Us is only for the costs payable under this Agreement. You will not be liable to Us, or any third-party, for damages like lost profits, lost savings, incidental damages, consequential damages, or special damages.

10. Dispute Resolution

a. Negotiation: We want to work this out. In the event of a dispute, the Parties agree to work towards a resolution through good faith negotiation.

b. Mediation/Arbitration: If talking it over doesn’t go well, either Party may initiate mediation or binding arbitration in a forum mutually agreed to by the Parties.

c. Litigation: If litigation is necessary, this Agreement will be interpreted based on the laws of the State of Colorado, regardless of any conflict of law issues that may arises. The Parties agree that the dispute will be resolved at a court of competent jurisdiction in the agreed upon State.

d. Attorney’s Fees: The prevailing party, or “winner” as non-lawyers call it, will be able to recover its attorney’s fees and other reasonable costs for a dispute resolved by binding arbitration or litigation.

11. Severability

If any section of this Agreement is found to be invalid, illegal, or unenforceable, the rest of the Agreement will still be enforceable.

12. Complete Contract

This Agreement puts the Parties entire understanding of the Services to be performed and anything else the Parties have agreed to in black and white (literally). This Agreement supersedes any other written or verbal communications between the Parties. Any subsequent changes to this Agreement must be made in writing and signed by both Parties.

13. Notices

All notices under this agreement must be sent by either email with return confirmation of receipt, or certified or registered snail mail with return receipt requested.

14. Let’s Shake Hands
Ink is the official handshake of business. If You agree to the terms of this Agreement please check this (and all other boxes) and this agreement becomes binding as of today's date 9/15/2021

Finally, please note despite all the legal stuff we work hard to ensure our clients are 100% satisfied (and hopefully elated) every time, please just call us if you are not happy with something so we can get it worked out quickly and get your website live for you. We work heavily with referrals and we just ask you to please put our name out there when you see how exceptional we treat you and thank you in advance.
